Job Description
Job Description : As a member of our Transaction Services Team, you will help acquirers evaluate targets, improve their M&A process and set post-close priorities. Our diligence assesses how a company generates cash and performs on nonfinancial measures. It also identifies possible risks in foreign operations and evidence of operational weakness. After a deal closes, our team counsels a company on improving the internal controls governing a target's financial, IT, back office, supply chain and customer management systems and processes. Transaction Services also helps sellers maintain control and realize greater value by finding weaknesses before buyers do, and working with management to address them, thus unlocking the value of the business to be sold and speeding the sales process. We help clients identify and resolve carve-out issues, assess the quality of earnings, determine the impact of transition/removal issues, assist in the coordination and structure of the data room, and advise on the purchase agreement. As a member of our Transaction Services Accounting and Financial Reporting practice, you will contribute to a team that advises our clients in today's uncertain and complex accounting and financial reporting environment, thus enabling our clients to enhance the quality of their financial reporting. Our customized solutions-oriented approach is tailored to company-specific situations allowing for a thorough approach in anticipating the needs of auditors, investors, and regulators. The Accounting and Financial Reporting practice within TS offers clients an integrated approach and practical, customized solutions to complex financial reporting and accounting issues faced by corporate and private equity firms as they navigate the capital markets. AFR advises clients on complex accounting and financial reporting matters arising from IPOs, business combinations, 144A/private placements, financing/securitizations, carve-out and spin-off transactions, SEC filings and IFRS/US GAAP conversions and embedding. The practice is known for advising clients on structures that are designed to reflect the spirit and intent of the applicable financial reporting principles, while at the same time addressing how tax, corporate finance and regulatory concerns impact the transaction, leveraging deep knowledge of both US and global exchanges and regulatory processes. Technical accounting focus areas include financial instruments, business combinations, consolidations, leasing, fair-value assessments, convertible securities, acquisitions & purchase allocations, derivatives & hedging, stock-based compensation and revenue recognition in both US GAAP and IFRS.
Qualifications Mandatory minimum qualifications - Knowledge Preferred: Thorough experience advising multi-national, publicly-traded companies and private equity firms on a broad range of technical accounting and financial reporting topics. Thorough knowledge of US GAAP, SEC reporting, IFRS and related financial reporting concepts and rules. Skills Preferred: Strong aptitude for resolving US GAAP, SEC reporting, and IFRS issues related to public company financial reporting including specialized knowledge in financial instruments, leasing, consolidations, IFRS conversions, or business combination regulations Minimum Years of Experience Necessary: 5 Minimum Degree(s) and Certification(s) Required: Bachelor's degree in Accounting required CPA or equivalent required; CFA or ASA certification preferred Line of Service Assurance
